Childcare Virtual Assistants, an Allied Assist company
Last updated: [DATE]
These Affiliate Program Terms of Service (“Terms”) are an agreement between you (“Affiliate,” “you”) and Allied Assist LLC [CONFIRM LEGAL ENTITY NAME], including its Childcare Virtual Assistants brand (“CVA,” “we,” “us,” “our”). They govern your participation in the CVA Affiliate Program (the “Program”).
By submitting the affiliate sign-up form, checking the box agreeing to these Terms, or taking part in the Program in any way, you agree to these Terms. If you do not agree, do not sign up or take part.
2.1 You must be at least 18 years old and able to enter into a binding contract.
2.2 We review every application and may accept or decline any applicant at our sole discretion, without giving a reason.
2.3 Current CVA employees and contractors (including our virtual assistants) may join only with our written approval.
3.1 A referral is credited to you only if the referred client signs up and completes checkout through your unique affiliate link, as described in Section 3.1a.
3.1a You must use your referral link. To receive credit for a referral, the referred client must sign up and complete checkout using your unique affiliate referral link. A referral is credited only when our tracking system records the purchase through that link. Purchases made without your link, for example when the client goes directly to our website, calls us, or uses a link from someone else, are not credited to you, and we are not obligated to assign credit after the fact. It is your responsibility to make sure the clients you refer use your link.
3.2 A referral is not valid if the client is already a client of ours, or is already in our system as a lead or contact, when the referral is made.
3.3 Self-referrals are not allowed. This includes you, your own business, or any business you own or control.
3.4 If more than one affiliate claims the same client, the first valid referral we recorded gets the credit.
3.5 Our records decide whether a referral is valid and who gets credit. That decision is final.
4.1 Rate. You earn a commission of 5% of the monthly payments the referred client actually pays us for an eligible package. It recurs each month for as long as that client stays an active, paying client of CVA on an eligible package.
4.1a Eligible packages only. Commission is paid only on our full-time and part-time virtual assistant packages. No other services, add-ons, one-time projects, or products earn a commission or referral fee, even if the client was referred by you.
4.2 Three months in arrears. Commission is earned on every paid invoice from the referred client, starting with the first. Each month’s commission is held and paid three months in arrears. For example, commission on the client’s first paid invoice is paid on or around day 120 after the client’s start date, commission on the second paid invoice is paid on or around day 150, and so on. At any time, the most recent three months of earned commission are being held and have not yet been paid (the “Held Commissions”).
4.3 Payments actually collected. Commission is calculated only on amounts we have actually collected. It excludes taxes, refunds, chargebacks, credits, discounts, write-offs, and any pass-through or third-party costs.
4.4 No commission on unpaid or disputed amounts. No commission is earned on any amount that is unpaid, refunded, charged back, or in dispute. If we pay a commission on an amount that is later refunded, charged back, or reversed, we may subtract it from your future commissions or ask you to pay it back.
4.5 When commission stops. Commission on a client stops once that client cancels, stops paying, or stays more than [30] days past due. If the client returns later, it is treated as a new sign-up only if we agree in writing.
4.6 Rate changes. We may change the commission rate for future payments under Section 11. A change does not affect commission you have already earned.
5.1 Commissions are paid monthly, by the [15th] of the month, for commissions earned in the previous month. Payment goes through the method you chose and we approved, such as [PayPal / direct deposit].
5.2 Payouts are made only when your balance reaches at least [$X]. Smaller balances carry forward to the next month.
5.3 You must report any payout problem in writing within 60 days of the payout date. After that, the payout is final.
5.4 We may hold a payout while we look into suspected fraud, invalid referrals, or a breach of these Terms.
You are responsible for all taxes on your commissions. You must give us a completed IRS Form W-9 (or the right foreign form) before we pay you anything. We will issue a Form 1099 when the law requires it. We may hold payouts until we receive the form.
You agree to:
- follow all laws that apply to your marketing, including CAN-SPAM, the TCPA, and state laws on email, calls, and texts;
- never send spam, unsolicited bulk email, or calls or texts without prior consent;
- clearly disclose your affiliate relationship with us whenever you promote us, as the FTC Endorsement Guides require;
- make no false, misleading, or unapproved claims about our services, pricing, results, or guarantees;
- not bid on, or run paid ads using, our brand names (such as “Childcare Virtual Assistants,” “CVA,” or “Allied Assist”) or close variations of them, and not use them in domain names or social media handles;
- use only the logos, images, and copy we provide or approve, and stop using them right away when we ask; and
- not pose as us or suggest that you are our employee or agent.
You are an independent contractor. Nothing in these Terms makes you our employee, partner, joint venturer, or agent. You have no authority to make promises, quote prices, or sign agreements for us. You pay all of your own costs of taking part in the Program.
Some information you may receive is confidential, including pricing that is not public, client details, commission reports, and internal materials. You agree to use it only for the Program and not to share it with anyone. This duty continues after the Program ends for you.
10.1 Our right to end the agreement. We may suspend or end your participation, or end the Program as a whole, at any time, for any reason or no reason, with or without notice.
10.2 Your right to quit. You may leave the Program at any time by telling us in writing.
10.3 Inactivity. If you do not send us at least one referral in any 4-month period, we may cancel your affiliate agreement.
10.4 Commissions after termination. When your participation ends for any reason, whether you quit or we end it, you stop earning new commissions, including on clients you referred earlier. You agree that all Held Commissions, meaning the most recent three months of commission held in arrears under Section 4.2, are forfeited when your participation ends, and we keep them. We will pay any commission that was already due and payable before the end date (that is, past its three-month holding period), subject to Sections 4 and 5. If we end your participation because of fraud or a breach of these Terms, you lose all unpaid commissions.
10.5 When your participation ends, you must stop using our links, names, and materials right away. Sections 4.4, 6, 8, 9, and 12–15 still apply after it ends.
We may change these Terms at any time by posting the updated version on this page and changing the “Last updated” date. If we make a material change, we may also tell you by email. If you keep taking part in the Program after a change is posted, you accept the updated Terms.
We do not promise that you will earn any particular amount or any amount at all. We may change, pause, or end our services, pricing, or the Program at any time.
To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising from the Program. Our total liability to you will never be more than the commissions we paid you in the 6 months before the claim arose.
You agree to defend and indemnify us, and hold us harmless, along with our owners, employees, and contractors, against any claims, losses, fines, or costs (including reasonable attorney fees) arising from your marketing, your breach of these Terms, or your violation of any law.
15.1 Governing law. These Terms are governed by the laws of the State of Ohio. Any dispute will be handled only in the state or federal courts serving [Franklin] County, Ohio.
15.2 Entire agreement. These Terms, together with any written commission terms we send you, are the entire agreement about the Program. They replace any earlier statements about it, including the general descriptions on our website.
15.3 Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
15.4 No waiver; assignment. If we do not enforce a term, we have not waived it. You may not transfer this agreement without our written consent.
